Job Description :
Transaction & Deal Support :
Draft, review, and negotiate transaction documents including:
Engagement letters, term sheets, NDAs
Share Purchase / Subscription Agreements
Shareholders’ Agreements
Offer documents, information memoranda, and placement documents
Regulatory & Compliance Advisory:
Advise the Investment Banking team on applicable SEBI regulations, including ICDR,
LODR, PIT Regulations, Takeover Code, and other relevant circulars and guidelines.
Risk Management & Governance:
Identify and assess legal and regulatory risks associated with proposed transactions
and business initiatives.
Provide pragmatic, businessoriented legal advice while safeguarding the firm’s legal
and reputational interests.
Support internal approvals, legal signoffs, and documentation required for
Investment Banking Committee / Management / Board approvals.
Internal Stakeholder Management:
Work closely with Investment Bankers, Compliance, Risk, Finance, and Operations
teams to facilitate smooth deal execution and reporting.
Support training and awareness initiatives for Investment Banking teams on legal and
regulatory developments impacting transactions.
Assist in developing and updating standard templates, playbooks and legal SOPs for
investment banking activities.
Key Skills & Competencies
Strong understanding of capital markets, M&A, and investment banking
transactions
Sound knowledge of SEBI regulations, Companies Act, FEMA, and related laws
Ability to liaise with regulators and external counsels in line with transaction
requirements.
Excellent drafting, negotiation, and analytical skills
Ability to work under tight timelines and manage multiple transactions
simultaneously
Strong stakeholder management and communication skills
High level of integrity, judgment, and attention to detail
