Position: Sr. Executive or Assistant Manager Legal
Qualification: LLB
Experience: 5 to 9 years

Job description
Roles and Responsibilities
  • Drafting, Vetting and replying of legal notices including recovery, Negotiable Instruments & trademark infringement and passing off notices for & behalf of the group company; Drafting & Vetting of court petitions including but not limited to suits, writs, criminal complaints, consumer cases, written statements, rejoinder, written arguments, misc. application both civil and criminal etc.; Appearing before the courts as and when required in the interest of group companies;
  • Food Safety and Standard Act, Rules and knowledge of Cr.P.C. CPC, and appearance in court,  arbitration proceedings, Coordination with external law firms and consultants.
  • Handling day-to-day legal documentation.
  • Attending the police stations & senior officers at various levels regarding criminal matters.
  • Maintaining sustained contact, liaise with and attend meetings with domestic & international law firms, legal counsels and Government officials for initiating and follow-ups on legal procedures and finalizing various legal drafts and matters relating to court litigation and legal due diligences
  • Ensuring compiling and updating of Monthly Legal MIS.
  • Collecting, preparing various documents from the concerned officials and prepare the complete case for contesting in the court as and when situation so demands.
  • Guiding and supervise the work of staff attorneys, paralegals and legal) working in direct services and assistants.
  • Litigation in terms of recoveries, performance of contracts etc.
  • Handling arbitration matters.
  • Court appearance in both Civil & criminal matters and contesting the court cases (civil and criminal) in all courts.
  • Issuing legal notices wherever required
2. AGREEMENTS-(Manufacturing - P2P, L.L., TPT and MOUs)
  • Drafting and vetting of the Confidentiality Agreements, Non-Disclosure Agreements, Loan License Agreements, Principal to Principal Agreements, Export Agreements, Distribution & Supply Agreements, Quality & Technology Agreements, Technology Transfer Agreements, Franchise Agreements, Letter of Intents (LOIs), Reviewing of Code of Conducts of various US & Global Multinational Companies, Vetting documents as per US & UK Anti-Bribery Laws, Brand Affidavits and vetting of other legal agreements and the Memorandum of Understandings submitted by the clients, parties, SIDCUL, Uttarakhand and advising the department, company on the various legal, regulatory and corporate matters.
  • Different type of Contracts extending from Joint Venture, Acquisitions, Licensing of Technical Know How, Trade Mark User, Share Purchase, Sale and Purchase Agreements, Purchase Order, Project documents, Marketing Agreements, Deeds Bonds etc.
  • Negotiating, drafting and vetting the agreements, contracts, deeds, etc pertaining to the manufacturing company. Drafting and vetting of litigation, notices, evidences and other matters pertaining to arbitration proceedings.
  • Negotiation and finalization of contract terms and conditions with the concerned parties.
  • To maintain and regularly update related MIS.
  • Scrutinizing of Tenders, Financial Agreements, Bank Documentations, Articles of Association, Warranties, etc.
  • Trademark Registration including its application, replying opposition, filing opposition, filing examination reports, filing counter statements and filing evidence. Looking after the matter till its Registration, disposal.
  • To conduct research work, prepare case synopsis on various business and legal matters.
  • To advice the management and other departments on legal matters as and when required.
