Qualification: CS

Job description
Role & responsibilities
  • Automating standard secretarial processes.
  • Handling corporate compliances of more than 20 companies (domestic and overseas) including
society and Section 8 Companies.
  • Advising on good governance practices and compliance of Corporate Governance norms as
prescribed under various laws.
  • Handling the promotion, formation and incorporation of companies and matters related
therewith for foreign jurisdictions.
  • Handling M&A transactions undertaken by the Company.
  • Managing every fund raise of the Company including the secondary transfers as well.
  • Responsible for filing, registering any document including forms, returns and applications by
and on behalf of the company as an authorized representative
  • Managing the entire lifecycle of ESOPs through a portal and conducting trainings for the
employees of the Company.
  • Independently manage the amalgamation of subsidiaries through NCLT route.
  • Preparing Board minutes, general meeting minutes and timely execution of the same
  • Research on various corporate actions under the Companies Act, 2013
  • Acts as the custodian of corporate records, statutory books and registers
  • Drafting, negotiating, reviewing and end to end management of standard company contracts
with vendors, clients, etc.
  • Takes proper action to close out the contract in accordance with applicable procedures at the
conclusion of all activity.
  • Timely follow-up with Vendors/customers, Consultants and providing the appropriate
information as and when needed.

Preferred candidate profile

• Company Secretary with min 3+ years of experience in Corporate (Law Graduate preferred).
• Excellent Communication Skills.
• High level energy and patience, timely response and quick learner.
• Ability to multi-task and perform under pressure.
• Strong knowledge on Companies Act, 2013, FEMA, SEBI and Listing regulations.
• Experience of Initial Public Offer preferred.
• Able to work independently and manage team of company secretaries.
• SPOC for all external stakeholders including investors, regulators, shareholders.
