Position: Practicing Company Secretary
Qualification: CS
Experience: 1 to 5 years
Location: New Delhi

Job description

  • Organize and prepare agendas for board meetings, committee meetings, and annual general meetings.
  • Take minutes at board meetings and maintain accurate records of discussions and decisions.
  • Maintain the company\'s statutory registers and records, including registers of members, directors, and charges.
  • Draft and file statutory forms and documents, such as annual returns and resolutions.
  • Coordinate with external legal counsel, auditors, and other professionals as necessary.
  • Assist in the preparation of board papers, reports, and presentations.
  • Handle correspondence and communication with shareholders, regulatory authorities, and other stakeholders.
  • Keep abreast of changes in relevant legislation and regulation and ensure that the company remains compliant.
  • To independently handle and manage secretarial compliance under Corporate & Other Laws
  • To liaisons with the Ministry of Corporate Affairs, Registrar of Companies, the Reserve Bank of India, Stock Exchanges, SEBI, and other statutory authorities.

  • Qualified company secretary (e.g., Chartered Secretary qualification).
  • Proven experience working as a company secretary or in a similar role.
  • In-depth knowledge of corporate governance principles, company law, and regulatory requirements.
  • Strong organizational skills and the ability to manage multiple tasks simultaneously.
  • Excellent communication and interpersonal skills, with the ability to interact effectively with board members, senior executives, and external stakeholders.
  • Ability to work independently and as part of a team, with a proactive and collaborative approach.
