Role Description

We\'re seeking a skilled Company Secretary with 2-8 years of experience in corporate governance and compliance. Company Secretary will play pivotal role in ensuring legal and regulatory compliance, maintaining corporate governance standards, and supporting the board of directors.
Responsibilities:
  • The candidate should have exceptional knowledge about incorporation of WOS of foreign companies, Private & Public companies, section 8 companies and LLPs.
  • The candidate should have total knowledge of all compliances required under companies law for the operational companies starting from first board meeting to filing of annual returns to regular compliances related to KYC, DPT3, BEN forms, MSME forms, ADT1, INC 22A etc.
  • Serve as a key liaison between the board, senior management, and external stakeholders.
  • Support the board and senior management on governance matters, providing expert advice and guidance.
  • Organize and facilitate board meetings, committee meetings, and general meetings, ensuring compliance with statutory requirements.
  • Maintain accurate and up-to-date statutory registers and records, including registers of members, directors, and shareholders.
  • Advise the company on legal and regulatory issues, staying abreast of changes in legislation and regulations affecting the business.
  • Assist in the drafting and review of corporate documents, including board resolutions, agreements, and policies.
Requirements:
  • Qualified Company Secretary.
  • 2-8 years of relevant experience in company secretarial, legal, or compliance roles.
  • Candidates with working knowledge on SEBI LODR guidelines & compliance requirements, RBI & NBFC matters, FEMA filings would be preferred.
  • Strong knowledge of corporate governance principles, regulations, and best practices.
  • Excellent communication and interpersonal skills, with the ability to liaise effectively with stakeholders at all levels.
