Position: Legal & Company Secretary
Qualification: CS,LLB

Job description
  • Corporate Governance:
  • Manage all aspects of corporate governance, including but not limited to, organizing board meetings, preparing agendas, drafting minutes, and maintaining corporate records.
  • Ensure compliance with statutory and regulatory requirements, including company law, listing regulations, and corporate governance guidelines.
  • Provide guidance to the board of directors and senior management on corporate governance best practices and emerging trends.
  • IPO Roadmap:
  • Develop and implement a roadmap for IPO readiness.
  • Legal Compliance:
  • Develop, implement, and monitor compliance programs to ensure adherence to applicable laws, regulations, and internal policies.
  • Conduct regular compliance audits and risk assessments to identify areas of non-compliance and implement corrective actions.
  • Stay abreast of changes in laws and regulations and advise management on implications of any changes for the business.
  • Contract Management:
  • Review, draft, and negotiate a wide range of contracts and agreements, including but not limited to commercial contracts, vendor agreements, and employment contracts.
  • Ensure that contractual terms and conditions are in compliance with legal requirements and company policies.
  • Litigation Management:
  • Develop a network of legal representatives for Drishti Group to manage legal disputes for and against Drishti group.
  • Liaise with external legal counsel as needed.
  • Develop strategies to minimize legal risks and resolve disputes in a timely and cost-effective manner.
  • Policy Development:
  • Develop and implement company policies and procedures to ensure legal compliance and risk mitigation.
  • Provide training and guidance to employees on legal and compliance matters to foster a culture of ethics and integrity.
  • Others:
  • Liaise with Government Authorities and Police as necessary.
  • Perform other duties as directed by the CFO or MD.
Qualifications and Skills:
  • The person should have a degree of Company Secretary form ICSI and Bachelor s degree in law from a recognized institution. Additional qualifications / certification would be an advantage.
  • 7- 10 years of experience in corporate governance, legal compliance, and contract management, preferably in a Service industry.
  • Strong knowledge of corporate law, securities regulations, and corporate governance principles.
  • Excellent communication and interpersonal skills, with the ability to interact effectively with stakeholders at all levels.
  • Proven ability to analyse complex legal issues, exercise sound judgment, and provide practical legal advice.
  • Ability to work independently, prioritize tasks, and meet tight deadlines in a dynamic environment.
  • Proficiency in MS Office suite and legal research tools.
  • Experience with at least one IPO lifecycle is preferred but not mandatory.
