Job  Description : 
The Head – Company Secretary will be responsible for overseeing the entire secretarial, corporate governance, and compliance framework of the organization, ensuring adherence to all applicable laws, regulations, and best governance practices applicable to listed entities and regulated financial institutions.
Key Responsibilities

  • Act as the Chief Governance Officer and key advisor to the Board of Directors and senior management on corporate governance matters.

  • Ensure compliance with Companies Act, SEBI Regulations (LODR, PIT, ICDR, SAST, etc.), RBI guidelines (for NBFC/Banking), FEMA, and other applicable laws.

  • Manage all Board, Committee, and General Meetings, including agenda preparation, minutes, resolutions, and follow-ups.

  • Handle stock exchange compliances, filings, disclosures, and coordination with depositories, registrars, and stock exchanges.

  • Oversee listing-related matters, corporate actions (dividends, bonus, rights, ESOPs, mergers, acquisitions, restructuring).

  • Ensure timely and accurate statutory filings, annual reports, corporate governance reports, and disclosures.

  • Liaise with regulators such as SEBI, RBI, MCA, ROC, Stock Exchanges, and other statutory authorities.

  • Manage shareholder relations, investor grievances, and compliance with investor protection norms.

  • Oversee secretarial audits, internal audits, and ensure closure of audit observations.

  • Develop, implement, and monitor compliance management systems and governance frameworks.

  • Lead and mentor the secretarial and compliance team, ensuring high standards of professionalism and efficiency.

  • Support legal, risk, and compliance functions in regulatory inspections and audits.
