Job Description :
- Convening, preparing agenda, board meeting material and conduct the meetings of the Board of Directors and Shareholders. Co‐ordination with group / associate companies for Corporate Governance requirements.
- Maintain Statutory Registers as required under Companies Act, 2013
- Preparation of Annual Report including Director’s Report and Corporate Governance Report of the Company
- Compliances under the Companies Act, FEMA, RBI
- Filing of various forms / documents/returns as required under the provisions of the Company Law with Ministry of Corporate Affairs / other statutory bodies
- Statutory reporting and documentation for and on behalf of the Company including Agenda and Minutes of the Meeting
- Co‐ordination with other functional teams to provide corporate documents, authorities and other necessary reports as may be required
- Secretarial Compliances for Overseas Subsidiaries
- Co‐ordination with Secretarial, Internal and Statutory Auditors and provide necessary assistance for Audit
- Ensure the right set of information is available to the board of directors to enable decision making
- Handle work related to issue of share certificates, transfer of shares and debt instruments
- Participation in due diligence and other fund raising process as required
- Other ongoing Secretarial / compliance work related as may be assigned by the management from time to time
I. Academic / Professional Qualifications: Should be a member of ICSI
II. Post Qualification Experience Minimum 6‐8 years. Should be able to handle independently.
