Job Description

Position: Company Secretary
Qualification: CS
Experience:  5 to 10 years
Location: Mumbai

Job description
  • Be responsible and manage the secretarial functions of the Group, primarily listed entity route mobile, stock exchange, SEBI LODR, Insider Trading, takeover code etc. and therefore a thorough understanding of companies act and various SEBI regulations is the key.
  • Working knowledge of FEMA, RBI FDI and ODI compliances
  • Ensuring quarterly, half yearly and yearly compliance applicable to listed company.
  • Schedule, plan and organize Ad hoc/quarterly Board and Board Committee meetings.
  • Prepare agenda and draft minutes of Board/Board Committee Meetings and Directors Report.
  • Prepare and undertake all statutory and other filings including to the Registrar of Companies and the Ministry of Corporate Affairs.
  • Ensure through the team, to maintain and record Statutory Registers as required under the Companies Act Rules thereunder.
  • Assist in the preparation of Annual Report and organizing the AGM/EGM.
  • Other day to day secretarial work of the Group like new entity formation, managing requirements of statutory secretarial auditors etc.KEY REQUIREMENTS
  • ACS Membership of Institute of Company Secretaries of India
  • A recognized law degree (LLB) from India with at 5+ years post qualification experience in a in an in-house position in a top 1000 listed corporation.
  • A strong corporate and commercial background.
  • Strong interpersonal communication and management skills as the role will involve close interaction with Management and business units.
  • Sound commercial sense and critical thinking skills, a proactive practical approach, and the ability to manage a range of issues involving multiple areas of law, are critical traits necessary for this role.
  • Mature, meticulous analytical and a team player.Experience:
 a) Major: 3 to 5 PQE into core secretarial and listed/insider trading compliance. Articleship exp. Not considered.
b) Minor: working experience into legal doc. review.
c) Pedagogy: listed Company top 1000.
Requirements and Responsibilities:
  • Drafting and reviewing and vetting of various agreements such as Supply Services, Hold interactive sessions with other departments like Sales, Product team to brief them on legal clarifications and taking briefs on requirements for Communication and messaging and IT enabled mobile telephony services; drafting new product agreements with suitable terms and conditions, review of KYC documents of Customers and uploading the same for verification on company s ERP; Telecom Value Added Services other Commercial Contracts; Contractual risk evaluation and recommend mitigation measures.
  • Initiate / defend and pursue litigation proceedings including drafting of legal notices, replying to legal notices, drafting to suit, petitions, replies, briefing appointing external Legal Counsels, preparing Case for Opinions, settling Plaints, Statements, writ petitions etc.
  • Assisting in obtaining various business licenses and registrations, Intellectual Property Rights matters.
