Job Description :
We are looking for a seasoned Company Secretary with LLB to manage secretarial, legal, and regulatory compliances in a fast-paced capital markets environment. The role will involve close interaction with senior management, regulators, external counsels, and group entities.

Key Responsibilities

Secretarial & Regulatory Compliances

  • Ensure compliance with the Companies Act, 2013, SEBI Regulations, LODR, ICDR, PIT, SAST, and other applicable regulations.

  • Handle end-to-end Board, Committee, and Shareholders’ Meetings, including agenda preparation, minutes, resolutions, and follow-ups.

  • Manage stock exchange filings, disclosures, and regulatory submissions in a timely manner.

  • Maintain statutory registers, records, and filings with ROC, SEBI, and Stock Exchanges.

Capital Markets & Transaction Support

  • Provide secretarial and legal support for QIPs, rights issues, preferential allotments, debt issuances, and other capital market transactions.

  • Coordinate with merchant bankers, legal counsels, auditors, trustees, and regulators during transactions.

  • Review offer documents, information memorandums, agreements, and transaction-related documentation.

Legal & Advisory

  • Draft, vet, and negotiate contracts, agreements, policies, and legal documents.

  • Provide legal opinions and advisory support to internal stakeholders on corporate, securities, and commercial matters.

  • Track and analyze regulatory amendments and assess their impact on the organization.

Governance & Compliance Framework

  • Assist in strengthening corporate governance practices and internal compliance frameworks.

  • Implement and monitor PIT Code, Code of Conduct, and internal policies.

  • Support internal and external audits from a secretarial and legal perspective.
