Job description
We are looking for a experienced Company Secretary to join our dynamic team.
The successful candidate will be responsible for overseeing all company secretarial matters in compliance with regulatory requirements and ensuring adherence to corporate governance standards.
Key Responsibilities:
The successful candidate will be responsible for overseeing all company secretarial matters in compliance with regulatory requirements and ensuring adherence to corporate governance standards.
Key Responsibilities:
- Ensure compliance with the Companies Act 2013 and SEBI regulations.
- Prepare and file necessary forms with the Registrar of Companies and Stock Exchanges.
- Maintain accurate and up-to-date statutory registers in accordance with legal requirements.
- Prepare minutes of board meetings, shareholders meetings, and other key corporate gatherings.
- Assist in the preparation and dissemination of annual reports to shareholders.
- Handle various other company secretarial matters as required.
- Ensure the company adheres to all applicable Reserve Bank of India (RBI) regulations and guidelines.
- Prepare for and manage inspections conducted by the RBI and any other due diligence conducted by prospective lenders/ investors.
- Drafting and vetting of MOA, AOA, Board Resolutions, Agreements with vendors/ lenders.
- Handling RBI / NHB Compliances
Qualifications and Experience:
- Qualified Company Secretary with a minimum of 4 years of post-qualification experience.
- Proven track record of handling company secretarial functions in a listed company.
- Strong understanding of regulatory requirements and corporate governance principles.
- Excellent communication and interpersonal skills.
- Attention to detail and the ability to work effectively under pressure.
