Role : Company Secretary Associate
Location : Delhi
Experience : 5 to 6 years

Job Description :
1. MCA / ROC Compliance
• Preparation & filing of statutory forms, returns, and documents with MCA/ROC.
• Maintaining and updating statutory registers, records & ledgers.
• Handling annual filings (AOC-4, MGT-7, DIR-3 KYC, etc.).
2. Meetings Support
• Drafting & preparing Notices, Agendas, and Minutes of Board Meetings, Committee Meetings & General Meetings.
• Coordinating meeting schedules with Directors and stakeholders.
3. Secretarial Documentation
• Preparation and issuance of share certificates, transfer deeds, and share-related documentation.
• Record keeping as per Companies Act & secretarial standards.
4. Regulatory Compliance (If applicable)
• Assistance in SEBI/LODR compliance for listed entities.
• Support in FEMA/RBI related filings and reporting.
5. Corporate Governance
• Drafting internal policies, SOPs, and compliance frameworks.
• Supporting Secretarial Audit and internal compliance checks.
6. Liaison & Coordination
• Coordination with ROC, Auditors, Banks, Consultants, Lawyers, and other regulatory authorities.
• Communication with Directors, promoters, and senior management for compliance matters.
7. Compliance Tracking & Reporting
• Maintaining compliance calendars, trackers, and checklists.
• Preparing MIS reports and ensuring timely completion of secretarial activities.
• Supporting internal/external audits with required documentation.
