Role & responsibilities
- Maintaining the statutory records of the company.
- Compliance with Companies Act/Rules/Guidelines/RBI.
- Organising and preparing agendas for and taking minutes of board meetings and annual general meetings (AGM, EGMs).
- Maintaining statutory books, including registers of members, directors & secretaries.
- Dealing with correspondence, collating information and writing reports, ensuring decisions made are communicated to the relevant company stakeholders.
- Contributing to meeting discussions as and when required, and advising members of the legal, governance, accounting and tax implications of proposed policies.
- Monitoring changes in relevant legislation and the regulatory environment and taking appropriate action.
- Liaising with external regulators and advisers, such as lawyers and auditors.
- Compliance of all Company related laws like IT Act Property related, Company Law, POSH Act, Secretarial Slandered specific to a Private Limited Company
- Developing and overseeing the systems that ensure the company complies with all applicable codes, in addition to its legal and statutory requirements.
- Contribute to the organization\'s annual director\'s report and sign it off on behalf of the Board.
- Filing of returns with the Registrar of Companies and RBI as required and within statutory timeframes.
- Drafting, reviewing, vetting of Bank Guarantees.
- Assisting Finance department as and when they required.
- Support Admin activities at Main Office related to Contracts, Travel etc.
Preferred candidate profile
* Should be Certified Member of Company Secretary of India
* Must have experience over 5 Year to 10 years in Secretarial Practice.
* Excellent Analytical and Leadership skills.
* Proficiency in advanced Computer Office Operation.
* Have the capability to liasoning with Government Authorities
