Job description
- To ensure full compliance to Listing Agreementwith Stock Exchanges
- To ensure strict adherence to CorporateGovernance and practices adopted by the company.
- To conduct and record board meetings othercommittee meetings including shareholders meetings as per requirements.
- Timely preparation filing of all statutorydocuments with ROC, SEBI, Registrar other authorities.
- To ensure compliance with various statutory
- To maintain Statutory Registers as requiredunder Companies Allied acts.
- To maintain all documents pertaining to theabove tasks and be responsible for all legal documents related to the company,its subsidiaries, directors etc.
- To ensure FEMA compliances related ForeignSubsidiary Companies with RBI including filing of ODI, APR and Assets /Liabilities etc.
- ManageBoard Meetings of Foreign Subsidiaries and minutes of the Foreign Subsidiaries.
- Co-ordinationwith JV Partners to hold board /general meeting of JVs and minutes thereon.
- Interactingwith International Lawyers to understand local laws requirement and executionof documents and passing resolution.
Desired Profile:
- Should be Company Secretary with total 4-5 years of experience, minimum 2 years in listed organization.
- Candidate from logistics/Shipping industry would be preferred.
- Should have strong experience in compliance to Listing Agreement with Stock Exchanges., strict adherence to Corporate Governance and practices adopted by the Company.
- Must have handled board meetings other committee meetings including shareholders meetings as per requirements, timely preparation filing of all statutory documents with ROC, SEBI, Registrar other authorities.
