Job description
Key Responsibilities:
- Governance and Compliance: Ensure compliance with corporate laws, regulations, and guidelines. Maintain and update company records, statutory registers, and filings.
- Board Support: Organize and prepare agendas and papers for board meetings, committees, and annual general meetings (AGMs). Record minutes and ensure proper documentation.
- Advisory: Provide guidance on corporate governance best practices. Advise the board on their legal and corporate responsibilities.
- Liaison: Act as the point of contact between the board, shareholders, and external regulators. Manage shareholder communication and address their queries.
- Documentation and Reporting: Oversee the preparation and distribution of annual reports, financial statements, and other compliance documents. Ensure timely submission of reports to regulatory authorities.
- Risk Management: Identify, monitor, and mitigate legal risks associated with the company\'s operations. Ensure policies are in place to manage these risks effectively.
Job role may vary as required.
Qualifications:
- Any degree and qualified CS from ICSI.
- Minimum of 4 years of experience in company secretarial roles, with strong knowledge of corporate law and governance.
Skills:
- Excellent organizational and time management skills.
- Strong written and verbal communication.
- High attention to detail and accuracy.
- Proficiency in using governance and compliance software.
- Ability to work independently and as part of a team.
