Job description

Key Responsibilities:

Corporate Governance and Compliance:
  • Ensure adherence to corporate laws, regulations, and guidelines under the Companies Act and other applicable laws.
  • Draft and review governance frameworks, charters, and corporate policies.
  • Conduct board and general meetings, including preparation of agendas, minutes, and resolutions.

  • Statutory Filings and Returns:
  • Prepare and file statutory forms, returns, and disclosures with the Registrar of Companies (ROC) and other regulatory bodies.
  • Manage filings related to changes in company structure, directors, shareholding, or other amendments.

  • Advisory Services:
  • Provide legal and compliance advice to the Board and senior management.
  • Advise on mergers, acquisitions, joint ventures, or restructuring activities.
  • Offer guidance on corporate governance standards and risk management practices.

  • Secretarial Audit:
  • Conduct secretarial audits and issue compliance reports as required under statutory provisions.
  • Prepare and certify forms, registers, and documents as mandated.

  • Liaison and Representation:
  • Act as a liaison with regulatory authorities such as SEBI, ROC, RBI, and other relevant entities.
  • Represent the organization in legal and regulatory proceedings, if required.

  • Shareholder and Stakeholder Management:
  • Manage shareholder relations, including dividend distribution, share transfers, and dispute resolution.
  • Address queries or grievances related to shares, debentures, and other securities.

  • Legal Documentation:
  • Draft, review, and maintain legal agreements, MOUs, contracts, and other business documentation.
  • Ensure proper maintenance of statutory registers, records, and documentation.

  • Training and Awareness:
  • Conduct training sessions for management and employees on governance, compliance, and ethical practices.
