Job description
Secretarial and Compliance Functions:
- Convene, hold Board Meetings, EGMs, AGM and Committee Meetings;
- Corporate Actions include Entity Formation, Investment, Sweat Equity, Increasing the authorise capital of the Company, Issue & allotment of equity shares; filing e-forms with RoC (annual and event-based); ensuring overall compliance with the Companies Act, 2013;
- Maintain Minutes of Board Meetings, AGM, EGMs and Committee meetings along with the maintenance of Statutory Registers and Share Certificates of group entities;
- Issue securities and facilitate dematerialization as per the provisions of the Depositories Act, 1996 and its regulations;
- Review Secretarial documentation for subsidiaries.
- Assisting in the requirements of various audits which include Statutory Audits, Secretarial Audits and Internal Audits;
- Ensuring timely compliance with FEMA Regulations for Overseas Investments such as FLA, APR and ODI-related reporting;
- Report compliances of Overseas Subsidiaries at the time of remittance of funds;
- Co-ordinating with RBI, ROC, RTA, and other government authorities, from time to time;
- Interaction with External Agencies for Secretarial Compliance
Legal:
- To draft and evaluate business / legal documents, agreements, MOU, NDA for the company and its group entities;
- To liaise with lawyers/ consultants for timely and speedy movement on Group requirements;
- To draft and/or review commercial contracts for the company and various functions;
- Undertake legal audits of the businesses/units to ensure compliance of legal matters suggest improvements and interact with unit head/business heads.
