Job description

Roles & Responsibilities:


  • Act as Company Secretary for Brown Stone, Ashriya.
  • Handle Secretarial activities for other Group companies as required.
  • Drafting, vetting of legal agreements and discussing with Vendors, landlords, Customers and internal stakeholders.
  • Being proactive in planning for required Secretarial and Legal activities.
  • Ensure compliance with the corresponding entities.
  • Review and negotiating contracts keep company business interest at the forefront.
  • Develop commercial understanding of the business and each product line for risk assessment including what is mandatorily required under applicable laws/regulations.
  • Work with cross-functional teams including agreeing on the contractual requirements.
  • Liaise with cross-functional teams on multi-faceted inputs/terms to be agreed and drive commercial negotiation with the objective of having the contract mutually agreed and signed.
  • Facilitate negotiations of various terms (including commercial and operational terms) for consideration in the contracts together with the Senior Management Group, Finance, Legal, Tax.
  • Provide support to group entities. Timely accurate reporting to Management with updates.
  • Work on special projects as may be assigned.
  • Should have experience in handling litigation, non-litigation (documentation).
  • Support the Company s M&A, investment and other corporate development activities, including the due diligence process.
  • To oversee the legal aspects of the verticals / businesses carried out by the Group.



Desired Profile:

  • Must be an CS with 10+ years of experience as Company Secretary
  • Additional Legal qualification like LLB will be an advantage
  • Sound Knowledge of FEMA Regulations, Companies Act and Labour Laws
  • Strong communication skills and excellent drafting skills
  • Sound and practical business judgment
  • Superior interpersonal skills and team-first attitude
  • Mergers & Acquisition (M&A s) experience


Key Skills and Expertise:
  • Strong knowledge of Companies Act, FEMA regulations, and labor laws.
  • Excellent drafting and communication skills.
  • Proven experience in mergers and acquisitions (M&A).
  • Practical business judgment and superior interpersonal skills.
  • A team-oriented attitude with the ability to collaborate effectively.
