Qualification: CS

Job description
Role & responsibilities

Responsibilities:
  • Secretarial :-
1. Handle ROC forms filings efficiently.
2. Manage event-based Stock Exchange intimations, quarterly filling and XBRLs.
3. Coordinate Board, Committee, and Annual Meetings effectively.
4. Liaise with Board of Directors, RTA, Bankers, Auditors, Depositories, shareholders and other stakeholders.
5. Oversee IEPF compliances, including reminder letters and verification reports.
6. Manage corporate actions for the transfer of unpaid dividends and shares to IEPF.
7. Provide support to other departments of the company and legal information.
8. Design, draft, and finalize the Annual Report of the Company.
9. Prepare notices, agendas, and related documents for Board Meetings, Committee Meetings, and AGMs.
10. Draft minutes of meetings accurately.
11. Handle share-related activities such as transmission, name deletion, duplicate requests, and transfers.
12. Address shareholders\' complaints through Mails, ODR, SCORES, and BSE platforms.
13. Manage dividend activities efficiently.
14. Ensure timely updating of the Company\'s website as per various provisions.
15. Assisting Internal and Secretarial audits.
16. Handle other day-to-day corporate secretarial tasks such as DSC, ID certificates, etc.
17. Manage CSR activities.
18. Stay updated on insider trading and takeover regulations.
19. Assist Finance Department with RBI-related compliances, APR, FC, FLA, ODI.
20. Stay informed about amendments in laws and communicate them to Management.
21. Prepare presentations to familiarize Directors with relevant topics.
22. Coordinate EPR / LEI activities.
23. Handle any other activities arising due to new amendments.
  • Legal :-
1. Coordinate with Advocates for drafting, reviewing, and filing complaints.
2. Visit Courts and Lok Adalat as required.
3. File complaints with the Courts when necessary.
4. Drafting and Vetting of legal documents and contracts accurately.
5. Ensure compliance with POSH regulations.
6. Coordinate Intellectual Property Matters specifically trademark and design-related matters.

Preferred candidate profile

1. CS qualification with Membership Number.
2. Proficiency in MS-Office.
3. Minimum 2-3 years of experience as a Company Secretary.
