Job description
Role & responsibilities :
Legal Compliance and Governance:
  • Develop, implement, and maintain robust legal compliance policies and procedures.
  • Ensure compliance with all relevant laws, regulations, and industry standards, including but not limited to corporate, securities, and employment laws.
  • Monitor changes in legislation and regulatory requirements and advise senior management on their implications for the company.
  • Oversee corporate governance practices and procedures, including board meetings, resolutions, and disclosures.

Company Secretarial Duties:
  • Maintain statutory registers and records in compliance with legal requirements.
  • Prepare and file statutory returns and other documents with regulatory authorities.
  • Facilitate the incorporation of new entities and manage corporate changes, such as director appointments, share transfers, and mergers/acquisitions.
  • Draft and review legal documents, including resolutions, powers of attorney, and board minutes, ensuring legal compliance and accuracy.

Legal Advisory and Risk Management:
  • Provide legal advice and guidance to senior management on a wide range of legal and regulatory matters.
  • Assess legal risks associated with business operations and transactions and develop strategies to mitigate such risks.
  • Conduct legal research and analysis to support decision-making and ensure compliance with legal requirements.

Stakeholder Management:
  • Serve as the primary point of contact for legal matters, both internally and externally.
  • Build and maintain effective relationships with regulators, legal advisors, and other stakeholders.
  • Communicate legal requirements and implications to internal stakeholders and ensure alignment with corporate objectives.

Preferred candidate profile :
  • Bachelor\'s degree in Law (LLB) from an accredited institution.
  • Company Secretary (CS) qualification from an accredited institution.
  • Proven experience as a Company Secretary or in a legal role within a corporate environment, preferably within the [insert industry] sector.
  • Thorough understanding of corporate governance principles, company law, and regulatory requirements.
  • Excellent knowledge of relevant legislation and regulations, including corporate, securities, and employment laws.
  • Strong analytical skills with the ability to identify and assess legal risks.
  • Exceptional communication and interpersonal skills, with the ability to interact effectively with stakeholders at all levels.
  • High level of integrity and professionalism, with a commitment to upholding ethical standards.
  • Proficiency in legal research tools, Microsoft Office Suite, and company secretarial software.
