Corporate Governance:

  • Act as the primary point of contact for board members, shareholders, and regulatory bodies on governance matters.
  • Organize and facilitate board meetings, annual general meetings (AGMs), and other corporate events.
  • Draft agendas, minutes, and resolutions for board and committee meetings.
  • Ensure compliance with corporate governance guidelines, including the Companies Act and other relevant regulations.

Statutory Compliance:

  • Maintain statutory registers and records, including registers of members, directors, and shareholders.
  • File statutory returns and annual reports with regulatory authorities (e.g., Companies House, Securities and Exchange Commission).
  • Monitor changes in legislation and regulatory requirements affecting the company\'s operations.

Board Support:

  • Assist the board of directors and board committees in fulfilling their duties and responsibilities.
  • Provide guidance on corporate governance practices and board procedures.
  • Prepare board packs, presentations, and briefing materials for board meetings.

Shareholder Relations:

  • Manage communication with shareholders, handling inquiries and providing information as required.
  • Coordinate shareholder meetings and proxy voting processes.

Legal and Risk Management:

  • Liaise with external legal advisors on legal matters, contracts, and agreements.
  • Support risk management initiatives and compliance reviews.

Corporate Secretarial Administration:

Oversee company secretarial matters for subsidiaries and group entities, if applicable.
Maintain the company\'s registered office address and correspondence.
