Qualification: CS

Job description
Secretarial/Legal
  • Preparation of Board Meeting/ Annual General Meeting Notice, agenda, Minutes for Board meetings, committee meetings and Shareholders meetings.
  • Preparation of Annual Report.
  • Dividend distribution and IEPF related works.
  • Coordination with RTA (Registrar and transfer agents).
  • Filing form with MCA (Quarterly, half yearly, Annual and event Based compliances)
  • Maintaining Statutory registers.
  • Preparation of Due diligence report, Search Report.
  • Demat coordination for shareholders with RTA.
  • Shristi New Singapore company coordination with consultants for ACRA compliances.
  • Co-coordinating for Secretarial Audit and Internal Audit.
  • Maintain CIMPLYFIVE Software.
  • All compliances/filing of forms under companies Act.
  • Bank documentations/Joint documentation/MODT documentation coordinating with Banks.
Finance
  • Providing Information and Coordinating with Banks and other departments for getting New/renewal sanction letter for Working capital and Term loan.
  • Providing Information to Banks as and when required Coordination with Plant for obtaining various Data/information to be submitted to the banks
  • Preparing/Co-ordination for various agreements to get the facility from bank.
  • Account opening with Banks for Various purpose / Alteration in banks accounts
  • Closure of Bank accounts
  • Preparation for Consortium meeting. - Coordination with Lead Bank
  • Corporate guarantees Execution
  • Facilitation in creating Mortgage, coordinating for preparing valuation report, legal audit report and CERSAI.
  • Creating/Modifying or Closure of charges with various banks.
  • KYC Compliances with Banks
  • CMA Report preparation
Preferred Candidates :Should have exposure in handling all types of Secretarial compliances of a manufacturing Company of our size and complexity. Experience in working in SAP environment is desirable.
