Job Description
Role : Assistant Company Secretary
Experience : 4 to 5 Years
Qualification : CS
Location : Pune
Job Descrition :
1. Merchant Banking Transactions like Main Board, SME & Start-up IPOs, Open Offer, Delisting & Demerger and Merger & Amalgamation.
2. Maintaining all statutory records like Minutes, Statutory Registers, and Policies.
3. Drafting Agreements on receipt of approval from Reporting Authorities.
4. Liaoning with Statutory, Secretarial and Internal Auditors.
5. Overall management of all activities pertaining to secretarial and legal compliances.
6. Advise the Board in ensuring good corporate governance and in complying with the corporate governance requirements and best practices.
7. Filling of Forms with Registrar of Companies.
8. Maintain the SEBI (Quarterly, Half Yearly and Annual Compliances) and Stock Exchange Compliances (Listing Regulations).
9. Compliances with SEBI LODR Regulations, SEBI ICDR Regulations, SEBI PIT Regulations, etc.
10. Preparation of Annual Reports, Corporate Governance Reports etc.
11. Ensure compliances holding Board Meetings, Committee Meetings and General Meetings.
12. Monitoring of SEBI SCORES Portal, default monitoring, and Default updating on the NSDL portal, CDSL portal, SEBI SI Portal.
