Qualification: CS

Job description

KEY ACCOUNTABILITIES
Assisting the Company Secretary in carrying out the Secretarial functions of GMR Hospitality and Retail Limited (GHRL 100% Subsidiary of GHIAL), GMR Hyderabad Aviation SEZ Limited (GHASL - 100% Subsidiary of GHIAL), GMR Hyderabad Aerotropolis Limited (GHAL - 100% Subsidiary of GHIAL), ESR GMR Logistics Park Private Limited (GLPPL - 30% JV of GHAL) and Gateways for India Airports Private Limited (GFIAPL) (under the supervision and guidance of GHIAL Company Secretary), which includes:
1. Assisting in convening of Board meetings (Preparation of Agenda, Arrangement of Logistics to Directors, who attends meetings and co-ordination with other Teams for data to be presented at the Board meeting;
2. Post Board Meeting works (Drafting and circulating of minutes of meeting, dissemination of ATR points, necessary ROC filing and Updating of Statutory Registers;
3. Assisting in convening of General meetings of the members;
4. Preparation and circulation of circular resolutions;

EXTERNAL INTERACTIONS
1) Directors of the respective companies
2) Statutory authorities like Registrar of Companies, Depositories(NSDL,CDSL), Stock Exchanges, Registrar& Transfer Agents etc
3) Statutory Auditors
4) Secretarial Auditors
5) Banks, Financial Institutions etc

INTERNAL INTERACTIONS
1)Finance & Accounts and operational teams
2)Sector Secretarial Teams
3) Sector Legal Teams
4) Secretaries of Directors and senior management
CSO and other senior colleagues in the CSD. CFOs or Finance controllers and managers of other operational departments.

FINANCIAL DIMENSIONS
  • Making payment to statutory authorities by way of fees upto Rs. 50,000 per annum
  • Meeting expenditure towards conducting meetings etc and other services which may cost up to Rs. 10 lakhs per annmum
OTHER DIMENSIONS
  • Coordinating with management trainees and/or coordinators
  • Support in governance initiatives of the Group
EDUCATION QUALIFICATIONS
  • Associate Member of Institute of Company Secretaries of India(ICSI)
  • Skill to obtain relevant information from cross functional teams
  • Ability to understand the business requirements and put proposals before the Board, accordingly.
RELEVANT EXPERIENCE
  • 15 months in Corporate Secretarial Department as management trainee under ICSI guidelines
  • 4 to 7 years for AM.
