Job description
1. Overview

We are seeking a highly skilled and experienced candidate to oversee and manage all aspects of regulatory compliance related to Securities and Exchange Board of India (SEBI) Listing Obligations and Disclosure Requirements (LODR) Regulations, coordination with Bombay Stock Exchange (BSE) and National Stock Exchange (NSE), and Prohibition of Insider Trading (PIT) compliances and secretarial compliances under Companies Act, 2013. The ideal candidate will have a deep understanding of SEBI regulations, a proactive approach to compliance management, and exceptional communication skills to coordinate effectively with regulatory bodies and internal stakeholders.

2. Responsibilities

The candidate will be responsible for all the secretarial compliances under Companies Act, 2013 and the following compliances under SEBI Regulations:

I. SEBI LODR Compliances
1. Keeping track of all the SEBI amendments impacting OEM
2. Ensuring Regulation wise SEBI LODR compliance including overseeing the Board and Committee composition, approval of related party transactions
3. To keep a track of threshold of Related Party Transactions entered by the Company and prepare for shareholders resolution in case the transactions exceed a certain threshold
4. Ensuring all the prior intimations are made to stock exchange in a timely manner in accordance with Regulation 29 of SEBI LODR Regulations
5. Quarterly compliance report certified by CFO/CEO to be placed before the Board
6. Action items arising out of corporate governance policies

II. Stock Exchange compliances
1. Ensuring all the quarterly, half yearly and annual stock exchange compliances including submission of investor grievances, statement on related party transactions, corporate governance report are made in a timely manner
2. Timely payment of fees and charges to the stock exchange
3. Submission of financial results to stock exchange in XBRL format
4. Statement of shareholding pattern as per Regulation 31 of SEBI LODR to be submitted in a timely manner

III. Materiality of events
1. Prompt and timely disclosure of material events to the stock exchange in accordance with the material events policy which will be adopted by the Board
2. Timely intimation of outcome of the Board meeting in accordance with Regulation 30 of SEBI LODR

IV. Annual Report
1. Ensure annual report is prepared in accordance with Schedule V of SEBI LODR and all relevant disclosures are made as per SEBI LODR

V. Prohibition of Insider Trading Regulations

1. Implementation and maintenance of structured digital database containing the nature of unpublished price sensitive information and the names of such persons who have shared the information and also the names of such persons with whom information is shared under PIT Regulations along with the PAN or any other identifier authorized by law where PAN is not available.
2. Timely closure of trading window
3. Formulation of trading plan
4. Quarterly intimation to the stock exchange
5. Obtaining disclosures from Directors, KMPs in terms of SEBI PIT Regulations

VI. Share Based Employee Benefits and Sweat Equity Regulations, 2021(SBEB Regulations)
1. Relevant compliances under the SBEB Regulations

Qualification: Qualified Company Secretary (Member of ICSI), LLB is an added advantage
Experience: 2-6 years and should mandatorily have listed company experience
