Position: Semi Qualified Company Secretary
Qualification: CS,LLB
Experience: 1 to 4 years
Location: Mumbai


Job description
  • Assist in preparing and filing necessary documents with the Registrar of Companies (ROC)
  • Ensure compliance with the Companies Act, 2013 and other applicable laws
  • Maintain statutory registers and records
RBI/FEMA Compliance filings:
  • Assist in preparing and filing necessary documents with the Reserve Bank of India (RBI) under the Foreign Exchange Management Act (FEMA) such as FLA, APR reporting of ESOPs under the OPI forms etc.
  • Ensure compliance with the provisions of FEMA and other applicable laws
ESOP Management:
  • Assist in the governance and management of the Group s employee stock option program
  • Assist in the preparation of documents related to the grant and exercise of stock options.
  • Track activities: e.g. grant acceptances, vesting schedule, exercise process, sales, termination, post-termination exercise window etc
  • Communicate with employees and internal and external parties to promote the plan and share relevant information.
  • Regularly review and monitor federal, state and foreign regulations along with securities laws for several jurisdictions wherein stock options are given under the group plan.
Overseas Compliance:
  • Assist in compliance and governance of overseas group entities (holding company and sister concerns of the Company)
  • Provide in-house support for overseas entities to the local consultants/counsels
Board General Meetings:
  • Assist in organizing and preparing agendas for board meetings, shareholders meeting and committee meetings
  • Draft attendance slips, notices, minutes of meetings, CTCs thereof
  • Ensure timely record keeping of the statutory minute books
Corporate Governance:
  • Support in implementing and monitoring good corporate governance practices
  • Assist in drafting reviewing Company policies and procedures
Transactional Support:
  • Provide required support for any acquisition, merger, sale/buy of business by the Company including but not limited to activities such as due diligence and contractual documentation
Liaison Coordination:
  • Coordinate with various regulatory authorities and external advisors as needed
  • Liaison with internal departments for compliance related matters
