Role & responsibilities
1) Legal Knowledge:
- Expert knowledge in all kind of civil litigation more specifically immovably property related matters.
- Due Diligence of the Immovable Properties and rendering opinion on the marketable title of immovable properties.To identify the risk factors, critical issues in the land documents & bring to the notice of the Head Legal.
- Reviewing and drafting of contracts/ agreements/ documents relating to transactions in the real estate field, Sale deeds, lease deeds, Deeds of Transfer, Deeds of Gift, Deeds of Release, Joint Development Agreements, Construction Agreements, Agreements for Sale, MOUs, Joint Ventures, all Agreements relating to Infra Projects and Real Estate & Property Development etc.
- Drafting of Loan documents such as Facility Agreement, Mortgage Deed, Deed of Hypothecation, Guarantee Documents, Deed of Assignment, Indemnity Bond
- Drafting and vetting of plaints, written statements, interim applications, counters, rejoinders etc.
- Drafting and vetting of notices, replies etc
- Closely coordinate with the external counsels, visiting courts and advocate offices regularly.
- Knowledge in Arbitration, DRT and SARFAESI matters.
- Conduct legal research on various aspects of property law, including statutes, regulations, and case law, to support legal function and external counsels to formulate the strategies.
- Advising private banks and providing legal opinion on corporate matters and Search Reports for Banks and NBFCs in respect of properties i.e. Flats, Lands, Plots, APFs.
- Providing legal opinion to banking institutions regarding security creation for syndicated bank loan, external commercial borrowings and RBI compliances;
- Coordinating with clients and Banks/ Financial Institutions - Visiting Banks and NBFCs for vetting of legal documents & legal audit.
- MIS Preparation
- Assist in the resolution of property-related disputes through negotiation, mediation, arbitration, or litigation as necessary.
- Assisting client in calculation of stamp duty and registration fees and registering agreement, at the sub-registrar office.
- Coordinating with Register office for EC/document uploading/token fixing
- Maintaining project wise legal document
- RERA QPR reporting file preparation & annual report follow up.
- Investigation of Title which would include reviewing title documents, drafting of Public Notices and preparing reports on title including Title Certificates as required by RERA;
Must have good understanding of the below:
- Real Estate (Regulation and Development) Act, 2016 (RERA)
- The Transfer of Property Act, 1882
- The Stamps Registration Act, 1908
- Indian Easement Act, 1882
- Indian Contract Act, 1872, code of civil procedure
- Indian penal code 1860
- Consumer protection Act, 1986, 2019
2) Accounts Knowledge:
- Responsible for Finalization of Accounts.
- Responsible for Banking Activities & Bank reconciliation.
- Responsible for preparation and supply of Annual TDS certificates within due date.
- Should have knowledge of Tally Prime
- Should have knowledge of GST and TDS
- Bookkeeping on Daily basis like Sales Bills, Purchase Bills and Bank Entries etc.
- Post and Process Journal Entries to ensure all Business Transactions are recorded
- Reconciliations of Ledger Balances e.g. Bank Balances, Receivables and Payables etc.
- Coordinate and support audits and tax filings.
- Should be capable of doing statutory compliances of payment and return filing of PT, PF / ESI & TDS.
- Should be capable enough to finalize the books of accounts, Prepare MIS reports, and have a good knowledge of GST, Income Tax & TDS
- Preparation of Profit & Loss account, Balance Sheet & Bank Reconciliation Statement & assist with tax audits.
- Assisting junior accounting team members in various accounting operations.
- Providing support to various audit works - Statutory, Tax, Internal & GST audit.
