Job description
- Provide proactive expert advice to management on statutory and legal matters having bearing on the company and its operations
- Advise on all laws and legislations guiding the industry, operations and processes; constantly scan the environment for any change in legal and statutory environment
- Develop and drive short term and long term plans for the department
- Drive the budget formulation process for the Department and related activities
- Support for mitigating financial risk for the company by ensuring the contacts / agreements entered into by the organization are not detrimental or less beneficial to the organization
- Driver the process of identification and analyze all legal issues; negotiation and drafting of key documents (including all powers of attorney); writing, reviewing, and editing reports, opinions, correspondence, articles, and other documents and present clear recommendations to the Management
- Provide legal advice to the management or any IDMC employee on all issues affecting the operations of IDMC, including, but not limited to, all contracts including third party commercial contracts, labour contracts, corporate legal records management
- Address the legal issues as they arise; and recommend solutions
- Act as a custodian of legal records and ensure that the legal records of the organization are well maintained and are made available as and when required
- Advise on employment matters, including drafting, negotiating and administering employment agreements
- Attend court cases and represent IDMC before courts and in arbitral proceedings, where appropriate and coordinates with lawyers and outside counsel otherwise
- Liaise with relevant departments to ensure that wherever legal risks have been identified, appropriate courses of action have been taken
- Ensure the legal review of all decisions relating to termination of vendor & client contracts due to non-payment/delay in supplies etc. along with the respective Department Head
- Review progress of outstanding litigation and liaise with and manage external lawyers
- Review and draft contracts, agreements, deeds and ensure that they are in compliance with all statutory or legal requirements
- Develop a conciliation and/ or arbitration mechanism for alternate dispute resolution and lead the negotiation process and amicable out of court settlement for Pre-Litigation and Post-litigation cases between the Company and disputing litigants
- Ensure adequate documentation of all legal communication & Court Cases
- Ensure that all the standard document templates of the Company (i.e. vendor contracts, client contracts, employee contracts etc.) are continuously reviewed in light of any changes in the law or its interpretation
- Perform such other duties that shall be assigned from time to time by the Management
- Prepare the annual manpower plan for the department
- Ensure that the department is adequately staffed as per the manpower requirements
- Drive a culture of performance amongst subordinates set goals, review and manage performance, guide and counsel and provide feedback on performance so as to ensure a motivated and committed team
- Oversee training and capability building of employees of the department
- Mentor and groom high-potential employees to ensure their career growth and succession readiness for key positions in the department
- Monitor the performance of employees within the department and take necessary interventions to improve performance
- Ensure high level of employee engagement and retention of critical employees
- Foster an environment of learning, excellence and innovation within the team
