Overview:
We are seeking a highly skilled and experienced Executive Company Secretary to join our organization. The ideal candidate will play a crucial role in ensuring effective corporate governance, compliance with statutory regulations, and the smooth functioning of the board. This position requires a detail-oriented professional with a strong understanding of corporate law, governance practices, and secretarial functions.
Key Responsibilities:

Corporate Governance:
  • Advise the board on corporate governance best practices and compliance with legal and regulatory requirements.
  • Support the development and implementation of governance policies and frameworks.
  • Organize and facilitate board meetings, including preparing agendas, minutes, and action items.
Secretarial Duties:
  • Maintain the company’s statutory registers and records, ensuring all filings are up-to-date and compliant.
  • Prepare and file annual returns and other statutory documents with regulatory authorities.
  • Coordinate with external auditors and regulatory bodies as necessary.

Annual Filings and Compliance:
  • Ensure timely submission of annual reports, financial statements, and other regulatory filings.
  • Monitor compliance with corporate laws and regulations, advising management on necessary actions.
  • Liaise with legal counsel to address any legal issues and ensure compliance with statutory obligations.
Board Support:
  • Provide administrative support to the board of directors and its committees, ensuring effective communication and information flow.
  • Assist in the induction and training of new directors, providing them with necessary documentation and orientation.
Stakeholder Communication:
  • Act as a point of contact for shareholders and stakeholders regarding corporate governance matters.
  • Prepare and distribute shareholder communications and announcements in accordance with legal requirements.
