Job Description

Position: Corporate Finance (Mergers & Acquisition)
Qualification: CA, MBA
Experience: 10+ years
Location: Vashi, Navi Mumbai

Job Descrption:
  • Preparation of financial model. 
  • Coordination with relevant internal departments for information pertaining to the financial model. 
  • Meeting, discussion, interaction with Lenders, Investors, Fund Houses. 
  • Collating, preparing, and sharing all relevant data and documents with the lenders, bankers, fund houses, as and when required. 
  • Responsible for keeping track of all ongoing funding proposals, follow up with bankers, lenders regarding the proposals etc. 
  • Discussion and negotiation on draft agreements with the lenders. 
  • Finalisation and execution of all documents required for availing credit facilities like, term sheet, sanction letter, facility documents, security documents etc. 
  • Completion of other activities pursuant to executed facility documents like, creation of charges, ROC filings, fulfilling the conditions subsequent to the documents. 
  • Arrange for NOCs from bankers, lenders wherever necessary like creation, perfection of security, opening current account with banks other than the lender bank etc. 
  • Drawdown of facilities in compliance with the facility documents. 
  • Debt servicing on time in accordance with the terms of executed documents. 
  • Completing other related activities (wherever required) like fixing up Libor, currency hedging, resetting interest rates etc. 
  • Reporting related to compliances as agreed in the facility documents on regular basis. 
  • Replying to various letters, notices, correspondence received from the bankers, lenders. 
  • Liaising with external agencies conducting various kind of activities like credit rating, valuation, due diligence, TEV study etc. 
  • Responsible for closure of finance and debt related portion in draft reports shared by above mentioned external agencies. 
  • Interaction with statutory, internal auditors regarding closure of observations related to borrowing transactions. 
  • Preparation of notes related to borrowings to be incorporated in financial statements. 
  • Regular update to the management about the existing debt profile across all companies. 
Merger & Acquisition: 
  • Assessment of various specified assets in the market. 
  • Due diligence of target assets. 
  • Coordinating with various consultants for, valuation, due diligence, governance check, compliance check etc. 
  • Providing relevant inputs to the Management for taking informed decisions. 
  • Interaction with bank, lenders for financing proposals for acquisitions. 
  • Price negotiations with the seller of asset. 
  • Coordinating with all relevant authorities for applicable compliances related to merger and acquisition.
