Job Description

Position: Company Secretary(AIF/NBFC) (Immediate Joiner)
Qualification: CS
Experience: 1 to 2 years
Location: Mumbai

Urgently required Company Secretary(AIF/NBFC) 1 - 2 years experience for Mehta & Mehta 

Job Description:
• Preparing presentation / synopsis on any new compliances under corporate laws that may be applicable from time to time.
• Obtaining ISIN for Equity and Debt. instruments
• Dematerialisation of Equity and Debt. instruments
• Corporate Action of Equity and Debt. instruments
• Preparation of notice, agenda and minutes of the meeting of Board of Directors & the Committees of the company.
• Preparation of notice, agenda and minutes of the meeting of the members of the company.
• Preparation of circular resolutions
• Preparation Directors Report.
• Preparation of all the statutory registers.
• Issue of Equity and Debt instruments on Private placement or rights issue basis
• Reporting to the Board about compliance with the provisions of Companies Act, the Rules made thereunder including applicable laws to NBFC.
• Prepare the action points from the meetings and follow up of the same on a timely basis.
• Ensuring that the Company complies with the applicable secretarial standards issued by the ICSI, the Companies Act, 2013 (including Rules) and NBFC related compliances.
• All routine Secretarial Compliance and NBFC compliances as applicable to the company
• Coordination with various departments and stakeholders related to Secretarial Compliances
• Ensuring the company complies with standard legal practice and maintains standards of corporate governance.
• Evaluating the effectiveness of controls in place for managing risk exposures, ensuring integrity and reliability of information and compliance reporting
• Hands on expertise on issue of securities and post issue compliances


CS with 1 - 2 years of expereicne in Secretarial Compliance and NBFC compliances
Experience in Alternate Investment Fund / NBFC will be preferred
