Job description
Key Responsibilities:
1. Corporate Governance:
- Ensure compliance with all statutory and regulatory requirements under the Companies Act and SEBI Listing Obligations and Disclosure Requirements (LODR).
- Advise the Board on governance matters and legal implications of proposed policies.
2. Board and Committee Management:
- Organize and facilitate Board, Committee, and shareholder meetings, including preparing agendas, drafting resolutions, and maintaining minutes.
- Coordinate with stakeholders for timely dissemination of meeting-related information.
3. Compliance Management:
- Manage filing and submission of statutory forms and returns, ensuring compliance with ROC, SEBI, Stock Exchanges, and other regulatory authorities.
- Monitor and implement changes in regulations affecting the company and advise on their impact.
4. Secretarial Records & Documentation:
- Maintain statutory registers, records, and documentation, including the register of members, directors, and securities issued.
- Ensure timely disclosures and filings, including the Annual Report, to relevant authorities.
5. Investor Relations:
- Handle queries and communications with shareholders and investors.
- Support initiatives for improving shareholder engagement and transparent communication.
6. Legal Advisory & Liaison:
- Coordinate with legal advisors, external auditors, and regulatory bodies to address compliance-related issues.
- Review contracts, agreements, and other documents to ensure adherence to legal standards.
7. Ethics and Risk Management:
- Promote a strong culture of ethics and corporate responsibility within the organization.
- Support risk identification and mitigation initiatives in corporate governance matters.
Key Requirements:
1. Education & Certification:
- Member of the Institute of Company Secretaries of India (ICSI).
2. Experience:
- Minimum of 7 years of relevant experience as a Company Secretary, must from a listed company.
3. Skills:
- Strong understanding of company law, SEBI regulations, and corporate governance.
- Excellent written and verbal communication skills.
- Strong organizational skills with attention to detail.
