Job description

Responsibilities:
  • Ensure compliance with all statutory and regulatory requirements applicable to a listed company, including Companies Act, SEBI regulations, and other relevant laws.
  • Organize and conduct board meetings, general meetings, and committee meetings, including preparation of agendas, minutes, and resolutions.
  • Manage all aspects of corporate governance, including maintaining statutory registers, filings, disclosures, and compliance certifications.
  • Provide guidance and support to the board of directors and senior management on corporate governance matters, legal issues, and regulatory changes.
  • Draft, review, and negotiate contracts, agreements, and legal documents in collaboration with internal stakeholders and external legal counsel.
  • Coordinate with external auditors, regulators, and legal advisors on audits, inspections, and investigations, ensuring timely responses and resolution of issues.
  • Monitor changes in corporate laws, regulations, and industry standards, and implement necessary policies, procedures, and training programs.
  • Assist in the preparation and review of annual reports, financial statements, and other disclosures required for regulatory compliance and investor relations.
  • Manage secretarial functions related to share capital, dividends, transfers, and investor communications, ensuring accurate record-keeping and timely responses to queries.
  • Collaborate with cross-functional teams, including finance, HR, and compliance, to align corporate governance practices with business objectives and strategic initiatives.
Qualifications:
  • Bachelor\'s degree in Law, Commerce, Business Administration, or related field; Company Secretary (CS) qualification is mandatory.
  • 7-8 years of progressive experience as a Company Secretary in a listed company, preferably in the IT or technology sector.
  • In-depth knowledge of corporate laws, SEBI regulations, listing requirements, and governance best practices.
  • Strong understanding of board dynamics, corporate governance frameworks, and regulatory compliance standards.
  • Excellent communication, negotiation, and interpersonal skills, with the ability to interact effectively with senior executives, board members, and external stakeholders.
  • Analytical thinking, attention to detail, and the ability to analyze complex legal and regulatory issues and provide strategic recommendations.
  • Proactive approach to problem-solving, risk management, and decision-making in a fast-paced and dynamic environment.
  • Proficiency in MS Office suite and corporate governance software/tools.
  • Membership with the Institute of Company Secretaries of India (ICSI) and relevant professional certifications are preferred.
