Job description
Key Responsibilities:
• Ensure compliance with the Companies Act, 2013, and other relevant corporate laws and
regulations.
• Prepare and maintain statutory registers, records, and filings as required by law.
• Organize and coordinate Board meetings, Committee meetings, and Annual General
Meetings, including drafting agendas, notices, minutes, and resolutions.
• Liaise with regulatory authorities, such as the Ministry of Corporate Affairs (MCA),
Registrar of Companies (RoC), Securities and Exchange Board of India (SEBI), and
Stock Exchanges.
• Manage and oversee corporate governance practices, ensuring the company adheres to
best practices.
• Provide advice on corporate, legal, and regulatory matters to the Board and senior
management.
• Handle matters related to share transfers, dividend payments, and the maintenance of the
companys share capital.
• Assist in the drafting, reviewing, and execution of legal agreements, contracts, and other
documents.
• Stay updated on changes in legislation and regulations affecting the companys
operations and governance.

Qualifications and Experience:
• Qualified Company Secretary (CS) with membership in the Institute of Company
Secretaries of India (ICSI).
• 5-7 years of experience in a corporate secretarial role.
• Strong knowledge of corporate laws, SEBI regulations, and governance practices.
• Excellent drafting, communication, and organizational skills.
• Proficiency in using any compliance and secretarial software.
• Qualified Company Secretary (CS) with membership in the Institute of Company
Secretaries of India (ICSI).
