Job description
This role requires a comprehensive understanding of corporate law, excellent organizational skills, and the ability to communicate effectively with Directors & Stakeholders.

Key Responsibilities:
1. Governance and Compliance:
  • Ensure the company complies with applicable laws, regulations, and guidelines, including Companies Act, Securities Laws, and other regulatory requirements.
  • Maintain and update statutory registers, records, and filings with regulatory authorities such as the Registrar of Companies (ROC), Securities and Exchange Board of India (SEBI), and Stock Exchanges.
  • Organize board meetings and AGMs as per requirement.
  • Develop and implement corporate governance policies and procedures, ensuring alignment with industry standards and stakeholder expectations.
2. Reporting:

  • Prepare and manage the publication of the companys annual report, ensuring accurate reporting of financial and operational performance.
  • Coordinate with auditors, financial advisors, and other stakeholders to produce comprehensive reports.
  • Ensure timely and accurate disclosure of material information to stock exchanges and other regulatory bodies.
  • Manage the company\'s insider trading policy, monitoring compliance with relevant regulations.
3. Administrative Duties:

  • Maintain accurate and up-to-date corporate records, including board resolutions, statutory registers, and compliance documentation.
  • Implement efficient document management systems to ensure accessibility and confidentiality.
  • Safeguard the company seal and manage the execution of official documents, ensuring compliance with legal requirements.
Qualifications and Experience:
  • Education:
  • Qualified Company Secretary (CS) with membership in the Institute of Company Secretaries of India (ICSI) or equivalent qualification.
  • Bachelors degree in Law, Finance, or a related field is preferred.
  • Experience:
  • Minimum 5 - 7 years of experience as a Company Secretary in a corporate or legal environment, preferably within a listed company.
  • Proven track record of managing corporate governance, legal compliance, and board-related activities.

Additional Requirements:
  • Professional Affiliations:
  • Membership in professional bodies such as the Institute of Company Secretaries of India (ICSI), Institute of Chartered Secretaries and Administrators (ICSA), or equivalent.
  • Certifications:
  • Additional legal or financial certifications (e.g., LLB, CA, or MBA) are advantageous.
