Job Responsibilities:
1. Company Secretary:
The role shall focus on execution of fundamental responsibilities of a Company Secretary as defined under the Companies Act, 2013 together with various Rules framed thereunder such as timely organization of Board Meetings, drafting of resolutions to be approved by the Board and minutes of the Board Meetings, filings with Registrar of Companies, Reserve Bank of India, etc., ensuring timely compliance with statutory secretarial responsibilities including the Corporate Social Responsibility of the Company from secretarial perspective, maintenance of statutory registers, statutory audit to name a few which are in addition to various other responsibilities of a Company Secretary.
2. Legal:
i. Acquiring and maintain a deep understanding of Companys standard templates for onboarding third parties, contracts SOP, and inherent legal risks and liability that may arise before the Company while executing a contract.
ii. Drafting, reviewing and negotiating contracts with third parties and customers as per legal and business requirements while ensuring compliance with Company’s policies as well as applicable laws or regulations, including but not limited to US Foreign Corrupt Practices Act, 1977, Boycott & Anti-Boycott laws, Export Compliance Laws, Denied Party checklists and MK Denial screening, etc.
iii. Legal advisory and dispute resolution on various challenges faced by the business from time to time.
iv. Preparation of standard templates and other documents, as per requirement.
v. Drafting replies to notices received from the Government.
vi. Handling litigation cases from a strategic viewpoint and coordinating with external counsels for appointment and appearance in matters, filings of documents in courts, etc.
vii. Advising business on applicable statutory non-secretarial compliances and undertake efforts to ensure 100% compliance by the business.viii. Legal trainings and preparation of SOPs from time to time.
