Job description
Role & responsibilities
- Ensure timely filing of ROC returns, documents, and forms.
- Maintain accurate records and registers as required by ROC.
- Conduct thorough reviews of company documents and records to ensure ROC compliance.
- Provide guidance on ROC compliance matters to internal stakeholders.
- Develop and implement effective ROC compliance procedures and policies.
- Liaise with ROC officials and external advisors as needed.
- Stay updated on changes in ROC regulations and requirements.
- Ensure compliance with other relevant laws and regulations.
- Incorporation process of Private Limited/ LLP and drafting of agreement for formation of LLP.
- Drafting and alteration of MOA & AOA
- Increase in Authorized Share Capital
- Issue and allotment of Debentures under Private Placement.
- Creation of ISIN & Coordination with RTA & Depositary Participants.
- Preparation of Directors Report, Corporate Governance Report, CSR Report and Board Responsibility report.
- Filing of CSR form & updating the same on Companies website.
- Returns of Deposits DPT-3
- Appointment and Resignation of Statutory Auditors & Directors.
- Co-ordination with Directors for filing DIR-3 KYC forms.
- Conversion of Unsecured loan into Equity Share Capital.
- Filing of various E-forms on MCA portal along with annual filing of companies including XBRL & non-XBRL as per the Companies Act 2013. XBRL filing of Group Companies
- Maintenance of Statutory Registers.
- Creation, Modification & Satisfaction of Charge
- Preparation of Notice, Agenda and Minutes of Board, General Meeting.
Preferred candidate profile
- In-depth knowledge of ROC regulations, Companies Act, and other relevant laws.
- Excellent analytical, problem-solving, and communication skills.
- Ability to work accurately under tight deadlines.
- Strong attention to detail and organizational skills.
