Qualification: CS

Job description

Job Responsibilities:

1. Corporate Governance:
  • Convene and manage board meetings, shareholders\' meetings, and ensure that proper documentation is maintained (Notices, Agendas, Minutes, etc.).
  • Ensure all statutory and regulatory requirements are met, including ROC, SEBI, and other regulatory filings.
  • Prepare and maintain statutory registers, share certificates, and other corporate records.

2. Regulatory Filings:
  • Filing of various e-forms with the Ministry of Corporate Affairs (MCA), including Annual Returns, Balance Sheets, and other ROC compliance.
  • Ensure compliance with SEBI (LODR) Regulations, including quarterly, half-yearly, and annual filings.

3. Compliance:
  • Handle NBFC compliances as per regulatory requirements.
  • Maintain compliance with corporate laws and ensure the correct filing of financial statements, director appointments, and resignations.
  • Liaise with regulators, stock exchanges, and other relevant authorities.

4. Legal Advisory:
  • Advise the board and management on corporate governance best practices, company law, and any legal or regulatory updates.
  • Manage the conversion of company status (e.g., Public to Private) and address changes & compliance related to Foreign companies.

5. Stakeholder Management:
  • Address shareholder queries and ensure proper communication with stock exchanges, regulators, and internal stakeholders.
  • Liaise with external regulators and advisers such as auditors and lawyers.

6. Others:
  • Manage due diligence for mergers and acquisitions.
  • Oversee transactions related to share transfers, capital restructuring, and company name changes.

Experience:
  • Minimum 5+ years of experience in company secretarial functions.
  • Experience in handling Board and Shareholder meetings, regulatory filings, and corporate governance in large organizations.
  • Experience with NBFC compliances and filings for listed companies (SEBI, ROC).

Requirements:

  • Educational Qualifications:
  • Qualified Company Secretary with membership No.
  • Bachelors degree in Commerce or related field / LLB (Law degree preferred).

  • Key Skills:
  • Proficient in MS Office and related secretarial software.
  • Excellent organizational and multitasking skills.
  • Strong knowledge of Companies Act, SEBI regulations, and MCA filings.
