Job description

  • Convene and administer annual general meetings (AGMs), including agenda preparation, minute-taking, and managing meeting correspondence.
  • Organize board meetings, ensuring all logistical details are handled efficiently.
  • Maintain statutory books, including registers of members, directors, and shareholders.
  • Advise directors and senior leadership on corporate governance matters, ensuring compliance with regulations.
  • Keep abreast of regulatory changes and policies that may impact the organization.
  • Serve as a key point of contact for the board, communicating regularly with directors and stakeholders.
  • Facilitate effective communication between the board, committees, senior management, and shareholders.
  • Provide legal, financial, and strategic advice during and outside of meetings.
  • Liaise with external professionals, including auditors and legal advisors, to ensure compliance and governance standards are met.
  • File necessary documents with Companies House, including annual tax returns and audit reports.
  • Monitor significant changes in share capital, administration, or registered address and report accordingly.
  • Develop and oversee systems to ensure compliance with legal and statutory requirements.
  • Pay dividends, manage share option schemes, and participate in share issues, mergers, and takeovers.
  • Support the MD in fostering an efficient and effective board environment, including assisting with the preparation of briefing materials and reports.
  • Provide thoughtful administrative assistance to the MD, such as scheduling meetings, managing correspondence, and maintaining confidential files.
  • Serve as a liaison for the MD, helping to coordinate communication and follow-ups with internal and external stakeholders.
  • Assist in project management and support strategic initiatives as guided by the MD.
  • Help and create presentations and other materials for the MD and the board, ensuring clarity and impact.
Qualifications and Skills:
  • Must hold a Company Secretary qualification.
  • LLB would be preferred.
  • 4-6 years of relevant experience in corporate governance and executive assistance.
  • Excellent verbal and written communication skills.
  • Strong commercial awareness and meticulous attention to detail.
  • Proven ability to work well under pressure and manage multiple tasks.
  • Strong interpersonal skills with the ability to collaborate with all levels of staff.
  • Knowledge of relevant laws and finance.
  • Proficiency in relevant software and applications.
  • Ability to take initiative and work flexibly.
  • Diplomatic approach with confidence in supporting high-profile staff and board members.
  • Discretion and integrity in handling confidential information.
