Job description
Key Responsibilities:
1. Corporate Governance & ROC Compliance:
- Ensure timely compliance with all requirements under the Companies Act, 2013, and other applicable laws, including filing annual returns, financial statements, and other statutory filings with the Registrar of Companies (ROC).
- Prepare and maintain statutory registers and records as per regulatory requirements.
- Draft, review, and file necessary resolutions, notices, and minutes of Board Meetings, General Meetings, and other statutory meetings.
- Ensure compliance with statutory filings like e-forms, DIR, INC, MGT, and others in the MCA (Ministry of Corporate Affairs) portal.
- Ensure timely renewal of licenses, permits, and approvals as required under various regulations.
2. Regulatory Compliance:
- Monitor and ensure compliance with corporate laws, SEBI regulations (if applicable), FEMA, RBI guidelines, and any other applicable laws for private limited companies.
- Manage and maintain compliance of various agreements and contracts.
- Coordinate and liaise with external stakeholders such as auditors, lawyers, regulators, and government authorities to ensure proper adherence to regulations.
3. Accounting & Financial Assistance:
- Assist the Accounts and Finance department with accounting reconciliations, including ensuring accuracy in financial records, and supporting the month-end and year-end closing process.
- Collaborate on statutory audits, internal audits, and tax audits, ensuring compliance with accounting standards and tax regulations.
- Review and assist in financial statement preparation, ensuring proper corporate reporting and reconciliation of transactions.
4. Company Secretarial Support:
- Advise the board and management on corporate governance best practices and the legal implications of decisions.
- Maintain corporate records, including shareholders and directors\' information, and ensure proper documentation of company operations.
- Manage and oversee the issuance and allotment of shares, transfer of shares, and other shareholder-related matters.
- Provide secretarial support during mergers, acquisitions, and restructuring processes.
5. General Administration:
- Handle any additional administrative duties related to legal or compliance issues, ensuring smooth company operations.
- Assist in risk management and ensure appropriate insurance coverage is maintained for the company.
Must have
- Qualified Company Secretary (Member of ICSI).
Preferred:
- Experience in handling accounting software (e.g., Tally, ERP, or similar).
- Knowledge of financial compliance, such as GST, income tax, and payroll regulations, will be an added advantage.
