Position: Company Secretary
Qualification: CS

Job description

Corporate Governance & Compliance:
  • Ensure compliance with the Companies Act, securities laws, and other relevant regulations (e.g., Listing Rules, Corporate Governance Codes).
  • Advise the board of directors on their legal and governance responsibilities and keep them informed about changes in legislation and regulations.
  • Ensure the company complies with statutory filing requirements, including annual returns, financial statements, and meeting minutes.
2. Board & Shareholder Support:
  • Organize and attend board meetings, preparing agendas, resolutions, and minutes.
  • Provide legal and regulatory guidance during board meetings and shareholder meetings, ensuring all decisions are recorded accurately.
  • Assist in the preparation of reports for shareholders and coordinate the annual general meeting (AGM) or extraordinary general meetings (EGM).
  • Facilitate communication between the board and shareholders, ensuring proper channels for shareholder engagement.
3. Corporate Records Management:
  • Maintain the companys statutory registers (e.g., register of directors, shareholders, charges) and corporate records.
  • Safeguard the integrity of the company’s governance documentation and ensure it is up-to-date.
  • Maintain and manage the company’s legal and corporate documents, including company constitutions, agreements, and other legal records.
4. Regulatory Filings & Reporting:
  • File statutory documents with the relevant authorities (e.g., Ministry of Corporate Affairs, Securities and Exchange Commission).
  • Ensure that all required corporate governance disclosures and regulatory filings are completed in a timely manner.
  • Oversee the preparation and filing of annual financial statements, ensuring compliance with accounting and auditing standards.
5. Legal & Risk Management Support:
  • Advise the board on corporate legal matters, including mergers, acquisitions, and corporate restructuring.
  • Provide support on corporate risk management by identifying legal risks and compliance gaps.
  • Liaise with external legal advisors and auditors on corporate matters when necessary.
6. Corporate Strategy & Advisory:
  • Advise on corporate structuring, business ethics, and compliance with internal policies and code of conduct.
  • Support senior management in ensuring that corporate strategies align with governance best practices.
  • Ensure that the company’s operations and corporate structure comply with regulatory requirements and industry standards.
7. Shareholder & Stakeholder Management:
  • Assist in managing relationships with shareholders, ensuring proper communication and understanding of shareholder rights.
  • Manage the process of share issuance, transfers, and other shareholder-related matters.
  • Handle communication with external stakeholders, such as regulatory bodies, investors, and auditors.
Skills & Qualifications:
  • Education:
  • A professional qualification in Company Secretaryship (e.g., ACS, FCS) from the Institute of Company Secretaries of India (ICSI), or equivalent professional body.
  • A law degree or additional legal qualifications are advantageous.
  • Experience:
  • Minimum 3-5 years of experience as a Company Secretary or in a corporate governance role.
  • Experience working with the board of directors and in managing corporate legal affairs.
  • Skills:
  • Excellent knowledge of corporate laws, regulatory requirements, and governance standards.
  • Strong written and verbal communication skills, with the ability to prepare reports, agendas, and legal documents.
  • Ability to manage multiple tasks, prioritize responsibilities, and meet deadlines.
  • Proficient in Microsoft Office Suite (Word, Excel, PowerPoint), and ideally familiar with governance software or tools.

  • Strong organizational and multitasking abilities.
  • Ability to work under pressure and handle sensitive information discreetly.
