Job Description
Position: Company Secretary
Qualification: CS
Experience: 2 to 5 years
Location: Shivajinagar, Pune
No of Days Workig: 6 days
JOB DESCRIPTION:
Listed entity - Key Responsibility
• Listing Compliances: Compliance with SEBI Regulations for Listed Companies, Stock Exchange Compliance etc.
• ROC/RD Compliances: Compliance with Companies Act and rules made thereunder including all secretarial practise but not limited to Drafting, review and quality control of Board/Committee documentation – Agenda, minutes, Arrangements and participating in Board Meetings, Committee Meetings & Shareholder Meetings and manage all aspects of Board, Committee, Shareholder meetings.
• NBFC Compliances: Compliance with RBI, Credit Information Companies, NESL (IU) etc.
• FEMA compliance in respect of ODI/FDI;
• Updating the Policies in line with the statutory amendments;
• Manage Statutory Filings, Compliance and Maintenance of Statutory Records under the Companies Act, Rules, RBI and NBFC Regulations wherever applicable;
• Advising directors and members of the senior leadership team on corporate governance matters;
• Ensure strong alignment and compliance with the Corporate Governance framework in the Company;
• Co-ordinate with Statutory, Internal & Secretarial Auditors;
• Handle Investor\'s grievances;
• Keeping up to date with regulatory or statutory changes and policies that might affect the organisation;
ESSENTIAL QUALIFICATION
• Associate Company Secretary (CS)
EXPERIENCE
• 1- 3 years of relevant experience in a Listed entity;
KNOWLEDGE AND SKILLS
• Good verbal and written communication skills;
• Meticulous attention to detail and the ability to work well under pressure;
• Interpersonal skills and the ability to work with people at all levels;
• Excellent organization and time management;
• An ability to take initiative and can work on multiple assignments with ease;
• A flexible and practical approach to work;
• Professional, positive attitude, self-discipline and Confident while dealing with senior Board members and other stakeholders,
• Discretion when handling confidential information.
REMUNERATION
As per the industry standards.
