Job description
The Company Secretary is responsible for ensuring the company complies with statutory and regulatory requirements, maintaining corporate governance standards, and providing administrative support to the Board of Directors.
Key Responsibilities:
Statutory Compliance:
1. Ensure compliance with Companies Act, Securities laws, and other regulatory requirements.
2. Maintain up-to-date knowledge of changes in laws and regulations.
Corporate Governance:
1. Advise the Board on governance best practices.
2. Develop and implement board policies and procedures.
Board Support:
1. Prepare and circulate Board meeting agendas, minutes, and resolutions.
2. Coordinate Board meetings, Annual General Meetings (AGMs), and Extraordinary General Meetings (EGMs).
Shareholder Services:
1. Maintain shareholder records and registers.
2. Handle share transfers, transmissions, and other shareholder queries.
Communication:
1. Liaise with stakeholders, including shareholders, auditors, and regulatory bodies.
2. Ensure timely dissemination of company information to stakeholders.
Administrative Tasks:
1. Maintain company records, including statutory registers and minute books.
2. Oversee company seal and certifying documents.
Other Responsibilities:
1. Provide guidance on company secretarial matters to management.
2. Develop and maintain relationships with external advisors (lawyers, auditors).
3. Ensure company\'s compliance with listing rules (if applicable).Role & responsibilities
