Responsibilities
- Secretarial Functions:
- Company Secretarial Compliances as per Companies Act 2013 and coordinating secretarial functions. Holding of Board Meetings, General Meetings and filing of necessary forms / returns with Registrar of Companies and keep up to date filing and records of all secretarial, legal matters and correspondence
- Compliance of FDI, Commercial or Corporate Law, Companies Act, Tax laws, FVCI, SEBI regulations, Regional Development Rules, Stamp Regulations.
- Manage compliances under various clauses of the listing agreement of BSE/NSE relating to SEBI (LODR) Regulations with respect to Non-convertible Debentures including submission of quarterly, half yearly and annual returns.
- Managing incorporation of companies, registration, modification & satisfaction of charges.
- Annual return on foreign liabilities and assets, FCGPR Part -A, Form ODI, Handling investment/disinvestment and other FEMA related issues.
- Legal Functions:
- Drafting contracts & agreements and process the registration of all documents & contracts.
- Process Term Contracts, Service Agreements, Deeds and Contracts, NDAs, Confidentiality Agreements, Bank Loan documents, Term Sheets and Definitive Agreements etc. as per the requirement and finalise necessary paperwork and documentation.
- Reduce turnaround time for preparation and vetting of Legal Documents and Maintain Management Information System (MIS) for the Legal Dept.
- Organize, monitor and attend all Court Matters, Litigations, Cases and Arbitration Proceedings to which Company/Group Company is a party.
- Maintain records and summary of all ongoing legal proceedings and give updates to the Head of Department in respect of all such matters on regular basis.
- Assist in negotiations, structuring transactions, Due Diligence, Title investigations and local legislations and protection of Intellectual Property.
