Position: Company Secretary
Qualification: CS
Experience: 2 to 3 years 
Location: Mumbai

Job description
Roles and Responsibilities

  • Company Secretarial activities
  • Preparation of Notice, Agenda, and Minutes of meeting
  • Drafting of various resolutions, forms and other supporting documents
  • Review, and vetting of documents
  • Proactive Compliance Check for clients and advice accordingly
  • Filings of various forms with MCA
  • FEMA compliances relating to FDI
  • LODR Compliances
  • Preparation of documents required for the Incorporation & Closure of a Company/LLP.

  • Audit & Due Diligence
  • Conducting of Secretarial Audit for listed and un-listed entities
  • Review and conducting of Due Diligence for various clients

  • Shareholders Agreement
  • Drafting of Shareholders Agreement (SHA), Share Purchase agreement (SPA) etc
  • Vetting of SHA, SPA etc

  • NBFC Compliance
  • Registration of NBFC
  • Takeover of NBFC
  • Routine Compliance of NBFC
  • Filing and liaisoning with RBI

Desired Candidate Profile
* Candidate should have a minimum 3 years (current) working experience with PCS firm.
