Job Description:
Regulatory Compliance: Ensure compliance with SEBI (LODR) Regulations and manage
registrations with NSE, BSE, and MCX for public and private companies. Ensure compliance for private companies and foreign subsidiaries with corporate laws and secretarial standards. Monitor weekly regulatory updates to keep the company informed of legal changes.
Filings and Documentation: Prepare and le XBRL returns and annual returns (MGT-7, AOC-4);
maintain statutory registers (MBP-1, DIR-8).
Board and Committee Support: Organize Board meetings, Committees, and AGMs, including
agendas, notices, minutes, and follow-ups on action points.
Corporate Governance: Draft and implement governance policies, including the Code of
Conduct and Whistleblower Policy.
Annual Reporting: Assist in preparing annual nancial statements and the Annual Report,
including the Directors Report.
Stakeholder Communication: Liaise with stock exchanges, regulatory authorities, and internal
stakeholders to communicate decisions and manage investor grievances. Coordinate with directors and senior management to enhance communication and decision-making.
Audit Coordination: Support internal and external audits by providing necessary documentation
and responses.
Legal Drafting: Draft corporate documents, including Board Resolutions and Lease Agreements,
and conduct ROC search reports.
Record Maintenance: Maintain statutory books and systematically document corporate
actions, including share transfers and e-voting.
