Role & responsibilities

We are looking for Company Secretary -Qualified/ Semi Qualified and the role requires working 6 days a week - Gurgaon location

Regulatory Compliance:
  • Oversee and manage filings with the Ministry of Corporate Affairs (MCA) via the MCA portal, including annual returns, financial statements, compliance certifications, and other statutory documents.
  • Ensure timely submission of forms such as AOC-4, MGT-7, DIR-12, INC-22, and other relevant MCA filings.
  • Liaise with government authorities, regulators, and auditors as needed.


Corporate Governance:
  • Support the company\'s governance framework and ensure compliance with the Companies Act, 2013, and other relevant laws and regulations.
  • Organize and attend Board Meetings, Annual General Meetings (AGM), and Extraordinary General Meetings (EGMs); prepare agendas, notices, minutes, and resolutions.
  • Provide legal and governance advice to senior management and board members.

Statutory Records & Filings:
  • Maintain statutory registers such as the Register of Members, Directors, Share Transfers, and others in accordance with legal requirements.
  • Prepare and file necessary documents related to changes in corporate structure, share capital, board composition, and any other regulatory filings.

Corporate Secretarial Support:
  • Ensure that the company is adhering to all required governance procedures and policies.
  • Draft, review, and maintain corporate documents like resolutions, agreements, and policies.
  • Advise on matters related to company law, corporate governance, and legal aspects of company operations.

Liaison and Reporting:
  • Act as the primary point of contact for regulatory authorities, external counsel, auditors, and other stakeholders.
  • Ensure timely reporting to the Board and shareholders as per applicable legal requirements.
  • Manage legal disputes, compliance audits, and any regulatory inspections.

MCA Portal Expertise:
  • Have in-depth knowledge and practical experience using the MCA portal for various regulatory filings and updates.
  • Keep up to date with the latest MCA updates, regulations, and statutory requirements.

Ad-hoc Tasks:
  • Handle any other legal or compliance tasks as assigned by senior management.
