Roles and Responsibilities of a Company Secretary in Compliance
**1. Regulatory Compliance:
- Ensure Adherence: Ensure the company complies with relevant laws, regulations, and corporate governance standards.
- Monitor Changes: Stay updated on regulatory changes and advise the board and management on necessary adjustments to maintain compliance.
**2. Board Support and Governance:
- Board Meetings: Organize and facilitate board and committee meetings, including scheduling, preparing agendas, and recording minutes.
- Documentation: Prepare and file statutory documents and ensure they are submitted on time, such as annual returns and financial statements.
- Corporate Records: Maintain and manage the companys statutory registers, including the register of members, directors, and charges.
**3. Shareholder Relations:
- Communication: Serve as the primary point of contact between the company and its shareholders, addressing their inquiries and concerns.
