Job description

Roles and Responsibilities of a Company Secretary in Compliance
**1. Regulatory Compliance:
  • Ensure Adherence: Ensure the company complies with relevant laws, regulations, and corporate governance standards.
  • Monitor Changes: Stay updated on regulatory changes and advise the board and management on necessary adjustments to maintain compliance.
**2. Board Support and Governance:
  • Board Meetings: Organize and facilitate board and committee meetings, including scheduling, preparing agendas, and recording minutes.
  • Documentation: Prepare and file statutory documents and ensure they are submitted on time, such as annual returns and financial statements.
  • Corporate Records: Maintain and manage the companys statutory registers, including the register of members, directors, and charges.
**3. Shareholder Relations:
  • Communication: Serve as the primary point of contact between the company and its shareholders, addressing their inquiries and concerns.
  • General Meetings: Organize and manage Annual General Meetings (AGMs) and Extraordinary General Meetings (EGMs), including the preparation of resolutions and proxy forms.
**4. Legal and Compliance Advisory:
  • Legal Counsel: Provide legal and regulatory advice to the board and management on various matters, including corporate structuring, contracts, and corporate governance.
  • Compliance Audits: Conduct regular compliance audits to identify and address potential legal and regulatory risks.
**5. Corporate Filings and Documentation:
  • Regulatory Filings: Prepare and file necessary documents with regulatory authorities, including annual returns, changes in company structure, and disclosures.
  • Record Keeping: Ensure accurate and timely maintenance of company records and documentation, such as articles of association and shareholder agreements.
**6. Ethics and Code of Conduct:
  • Develop Policies: Assist in the development and implementation of company policies and codes of conduct.
  • Enforcement: Monitor adherence to ethical standards and company policies, and handle any breaches or violations.
**7. Risk Management:
  • Risk Identification: Identify and assess potential compliance risks and develop strategies to mitigate them.

Skills and Qualifications:
  • Educational Background: Typically, a degree in law, business administration, or a related field. A professional qualification (e.g., Company Secretary certification) is often required.
