Qualification: CS

Job description

Key Responsibilities
  1. Compliance and Governance
  • Ensure compliance with all applicable laws, regulations, and guidelines, including corporate governance standards.
  • Maintain statutory registers and records as required under the Companies Act.
  • Prepare and file necessary returns, resolutions, and other filings with regulatory authorities such as the Ministry of Corporate Affairs (MCA), Securities and Exchange Board of India (SEBI), etc.
  1. Board and Committee Management
  • Schedule and coordinate Board of Directors and Committee meetings, including Annual General Meetings (AGMs) and Extraordinary General Meetings (EGMs).
  • Draft agendas, minutes of meetings, resolutions, and other official documents.
  • Advise the Board on their responsibilities and regulatory obligations.
  1. Legal and Secretarial Advisory
  • Provide advice on corporate laws, governance practices, and strategic decisions.
  • Draft and review legal agreements, policies, and contracts to ensure compliance with applicable laws.
  • Act as the liaison between the company and regulatory/statutory authorities.
  1. Corporate Documentation
  • Manage and safeguard important company documents, including Memorandum of Association (MOA) and Articles of Association (AOA).
  • Oversee the drafting and updating of policies, codes of conduct, and compliance manuals.
  1. Risk Management and Reporting
  • Identify, monitor, and mitigate risks related to governance and compliance.
  • Prepare reports for senior management and stakeholders on compliance status and governance metrics.
  1. Stakeholder Management
  • Act as a point of contact for shareholders and investors, ensuring proper communication and addressing their queries.
  • Facilitate dividend distribution and maintain records of shareholding patterns.
Qualifications and Skills
  • Educational Background:
  • Must be a qualified Company Secretary (CS) with certification from the Institute of Company Secretaries of India (ICSI).
  • Experience:
  • Preferred 2+ years in a similar role.
  • Skills:
  • Strong knowledge of corporate laws, governance practices, and compliance regulations.
  • Excellent communication, drafting, and negotiation skills.
  • Proficiency in MS Office and compliance management software.
  • High attention to detail and organizational skills.
