Job Description:
- Corporate Governance: Ensure that the company complies with statutory and regulatory requirements, and. ensure proper corporate governance practices are followed.
- Board Meetings: Arrange and manage board and committee meetings, including preparation of agendas,. minutes, and follow-up on action points.
- Compliance Management: Stay up-to-date with changes in laws and regulations affecting the industry and. ensure compliance.
- Statutory Filings: Prepare, review, and file statutory and regulatory documents with government authorities, such as ROC, SEBI, and other relevant bodies.
- Secretarial Records: Maintain and update important records, registers, and documents as required by company law.
- Legal Support: Provide legal advice and support to various departments within the organization, especially. regarding retail and consumer protection laws.
- Contracts and Agreements: Review, negotiate, and draft various contracts and agreements, including vendor. contracts and lease agreements.
- Shareholder Relations: Handle shareholder communications, including organizing and conducting annual general. meetings (AGMs) and other shareholder meetings.
- Risk Management: Identify and manage legal and compliance risks and implement mitigation strategies.
- Policy Development: Develop and implement corporate policies and procedures to ensure the organization. adheres to best practices.
- Audit and Compliance Reporting: Prepare reports on compliance activities and submit them to senior. management and regulatory bodies.
Required Candidate profile:
- A qualified Company Secretary. Proven experience in a company secretary role.
- Sound knowledge of Indian company laws, SEBI regulations, and other relevant regulations..
- Strong understanding of corporate governance principles and practices.
- Excellent communication and negotiation skills.
- Ability to work independently and in a team.
- Strong analytical and problem-solving skills.
- Knowledge of retail industry-specific laws and regulations is a plus
